• 1) Request Seller Offer: Must be on company letterhead. If you are not the (Buyer)You must list the (Buyer) and your position with the (Buyer). (Buyer) will not be contacted unless agreed upon.
• 2) (Seller) e-mails the (Sell Offer) w/NCNDA. NCNDA must be returned with in *4hrs. unless otherwise arranged.
• 3) Once the price and procedure have been agreed upon the (Buyer) will e-mail LOI with the (Seller) procedures included in the body of the LOI with authorizing signiture's and or seals must be signed/affixed to the LOI.
• 4) (Seller) will sign LOI and e-mail copy back to (Buyer).
• 5) (Buyer) will communicate with (Buyers Bank Officer) permission to verify (LC) to (Sellers Bank Officer) to confirm (POF) Proof of funds.
• Once (Seller Bank Officer) verifies bank instrument. (Seller) will provide (Geological Survey) (POP) to (Buyer or Buyer Engineering Firm) or to who ever has been designated by the (Buyer) to verify (POP).
• (Seller) will send draft SPA to (Buyer) for review. If (Buyer) doesn't have corrections and agrees to the SPA. He/She will sign to acknowledge and confirm his/Her confirmation of verbagge.
• After (Buyer & Seller) have verified the (POF & POP) (Buyer) will execute (LC) and will send to (Seller) the (Seller) will provide a copy to (Seller Bank Officer).
• Pay method (LC) Letter of Credit / Non-Revocable-Non-Transferrable unless otherwise arranged.
• Site Visit: If (Buyer) wishes to visit the Coal Mine He/She will be able to do so once SPA has been signed. Bear in mind that this is a virgin mine. There is nothing to see except the physical property it self.
• (Seller) will arrange a tour of the site, and seaport and city, county and state governments that they will be communicating with to ease the transition of ownership.
• Any (Buyer) wishing to engage in this transaction must execute all procedures in a timely manner.
